Please read these Terms of Service ("Terms") carefully before using VocatusAI's website or services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Services

VocatusAI provides AI-powered answering, text response, and appointment booking services for service businesses ("Services"). Our Services include but are not limited to:

• AI voice answering for after-hours calls
• Automated SMS text-back and conversation handling
• Website chat widget with AI response capability
• Social media and Google Business message handling
• Appointment booking and lead capture
• Reputation management and automated review requests

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of your business to use our Services. By using our Services, you represent and warrant that you meet these requirements.

3. Account Registration and Onboarding

To receive our Services, you agree to provide accurate and complete business information during onboarding, including your business name, services offered, pricing, hours of operation, and booking system access. You are responsible for keeping this information current. VocatusAI is not liable for errors resulting from outdated or inaccurate information.

You agree to respond to onboarding requests in a timely manner. Delays caused by failure to provide required information may extend your go-live timeline beyond the stated 14-day estimate.

4. Subscription and Payment

VocatusAI Services are offered on a monthly subscription basis. By subscribing, you authorize VocatusAI to charge your payment method on file on a recurring monthly basis until you cancel.

• Setup fee: A one-time setup fee is due upon signing and is non-refundable once onboarding has commenced
• Monthly subscription: Billed automatically on the same date each month
• Price changes: We will provide 30 days advance notice of any price changes
• Failed payments: If payment fails, we reserve the right to suspend Services until payment is resolved

5. Cancellation

You may cancel your subscription at any time with 30 days written notice sent to hello@vocatusai.com. There are no long-term contracts or early termination fees. Your service will continue through the end of your current billing period following cancellation.

6. 30-Day Performance Guarantee

If VocatusAI fails to capture a minimum of 3 new bookings for your business within the first 30 days of your service going live, we will refund your first month's subscription fee in full. This guarantee applies to the first billing period only and requires that:

• Your booking system is properly integrated and operational at the time of go-live
• Your phone number is correctly forwarded to the VocatusAI line during after-hours periods
• You have provided accurate business information during onboarding

The performance guarantee does not apply to the one-time setup fee.

7. Client Responsibilities

To receive the full benefit of VocatusAI Services, you agree to:

• Forward your business phone number to your assigned VocatusAI number during after-hours periods
• Notify VocatusAI promptly of any changes to services, pricing, hours, promotions, or booking systems by emailing support@vocatusai.com
• Maintain an active and properly configured booking system
• Not use VocatusAI Services for any unlawful purpose

8. AI Disclosure

VocatusAI's answering service is powered by artificial intelligence. Our AI agents are configured to disclose that they are AI if directly and sincerely asked by a caller. You as the client are responsible for any additional disclosure obligations required by applicable law in your jurisdiction regarding the use of AI in customer communications.

9. SMS Compliance

By using VocatusAI's SMS features, you agree to comply with all applicable laws and regulations governing commercial text messaging, including the Telephone Consumer Protection Act (TCPA) and carrier guidelines. You represent that all contacts who receive SMS messages through VocatusAI have provided appropriate consent. VocatusAI is not liable for TCPA violations arising from your customer list or consent practices.

All SMS messages sent through VocatusAI include opt-out instructions. Recipients may reply STOP at any time to opt out of future messages.

10. Limitation of Liability

VocatusAI's liability to you for any claim arising from these Terms or our Services shall not exceed the total fees paid in the 30 days preceding the claim. VocatusAI is not liable for:

• Missed bookings or lost revenue resulting from technical failures outside our control
• Downtime of third-party services including your phone carrier, booking platform, or internet provider
• Errors arising from inaccurate or outdated business information provided by you
• Indirect, incidental, special, or consequential damages of any kind

11. Intellectual Property

All content, branding, software, and materials associated with VocatusAI are the intellectual property of VocatusAI and may not be copied, reproduced, or distributed without written permission. Your business information and customer data remain your property.

12. Confidentiality

Both parties agree to keep confidential any proprietary business information shared in connection with the Services. VocatusAI will not share your customer data with third parties except as required to deliver the Services or as required by law.

13. Modifications to Terms

VocatusAI reserves the right to modify these Terms at any time. We will provide 30 days notice of material changes via email to your registered address. Your continued use of our Services after the effective date of any changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by the laws of the State of North Carolina. Any disputes arising from these Terms or our Services shall be resolved through binding arbitration in Wilmington, NC, except where prohibited by applicable law.
